3. Professional Services — General Terms
The following terms apply to all professional service engagements with iGoher:
3.1 Engagement Process
All services begin with a written agreement, project proposal, or scope of work that defines:
- Scope of deliverables
- Timeline and milestones
- Pricing and payment schedule
- Specific terms applicable to that service
No work will commence until a written agreement has been accepted by both parties.
3.2 Payment Terms
- A non-refundable deposit (typically 30–50% of the total project value) is required before work commences. The exact percentage is specified per project.
- Remaining payments are due as per the milestone schedule in the project agreement.
- Invoices are payable within 7 calendar days of issue unless otherwise agreed in writing.
- iGoher reserves the right to pause or terminate work if payment is not received within 14 days of the due date.
- All prices are quoted in USD unless otherwise agreed.
3.3 Revisions and Change Requests
- Each project agreement specifies the number of included revision rounds.
- Revisions beyond the agreed scope are billable at our standard hourly rate.
- Significant scope changes require a written change order agreed upon by both parties before implementation.
3.4 Project Delays
iGoher commits to agreed timelines in good faith. However, timelines may be affected by:
- Delays in receiving required materials, content, or feedback from the Client
- Third-party service outages (hosting, APIs, etc.)
- Factors outside of our reasonable control (force majeure)
We will communicate proactively about any delays and work to minimise impact.
3.5 Confidentiality
We treat all client information, business details, technical infrastructure, and project details as strictly confidential. We do not share client information with any third party without explicit consent, except as required by law.
Where requested, we are happy to sign a formal Non-Disclosure Agreement (NDA) before engagement begins.
3.6 Intellectual Property Ownership
Upon receipt of full and final payment:
- All custom Deliverables produced specifically for the Client become the intellectual property of the Client.
- iGoher retains the right to include the project in a portfolio, unless the Client requests otherwise in writing.
- iGoher retains all rights to pre-existing tools, libraries, frameworks, or boilerplate code used in the project. The Client is granted a non-exclusive, perpetual licence to use such components as part of the Deliverable.
4. Service-Specific Terms
4.1 IT Consultancy & Cloud Architecture
- Consultancy is provided based on best-effort and professional experience. It does not constitute a guarantee of specific business outcomes.
- Access credentials shared for infrastructure work must be rotated or revoked by the Client after project completion. iGoher will not retain such credentials.
- Recommendations provided in audits or reports are advisory. Implementation is the Client’s responsibility unless contracted separately.
4.2 Full-Stack Web Development (Laravel, Astro, Flutter, WordPress)
- Final code is delivered via a mutually agreed method (e.g., Git repository handover, FTP, direct deployment).
- The Client is responsible for the security of their production environment, including applying updates and patches after handover.
- Ongoing maintenance and support require a separate retainer or maintenance agreement.
- We do not warrant that software will be free from bugs after handover, but we provide a 30-day bug-fix warranty for defects present in the original scope of delivered work.
4.3 White Label WordPress Agency Services
- All white label work is performed under strict confidentiality. We will not contact, identify ourselves to, or market to your end clients.
- Agency clients must provide accurate briefs. Work delivered based on incorrect or incomplete briefs may not be revised at no charge.
- White label agreements are subject to a separate agency agreement that supersedes these general terms where there is a conflict.
- iGoher reserves the right to decline white label work that conflicts with ethical standards.
4.4 Affiliate Marketing Services
For Brands engaging iGoher to manage their Affiliate Programme:
- Programme management services are scoped on a monthly retainer or project basis.
- iGoher is not liable for the conduct or performance of individual affiliates within managed programmes.
- The Client is responsible for maintaining compliant, accurate tracking and commission payment systems.
For Super Affiliates and Publishers working with iGoher:
- All affiliate partnerships are governed by the specific programme terms of the applicable advertiser.
- Commission eligibility is subject to the advertiser’s valid transaction and fraud policy.
- iGoher does not guarantee specific earnings from any affiliate programme.
4.5 Digital Marketing & Social Media Marketing
- Campaign performance targets (e.g., ROI, ROAS, traffic growth) are estimates, not guarantees. Digital marketing results are inherently variable.
- Ad spend budgets are managed on the Client’s behalf; actual ad expenditure is paid directly by the Client to the relevant ad platform.
- Management fees are separate from ad spend and do not include ad spend costs unless explicitly stated.
- We require minimum agreed timelines (usually 3 months) to demonstrate meaningful results for organic strategies.
4.6 Technical SEO Optimization
- SEO is a long-term strategy; results typically take 3–12 months to materialise depending on competition and domain authority.
- We do not guarantee first-page rankings on any search engine. Google’s algorithm is proprietary and subject to change at any time.
- We do not engage in black-hat or manipulative SEO practices. Any such requests from the Client will be declined.
- The Client is responsible for implementing on-site recommendations if they retain control of their CMS.
4.7 Email Marketing Automation
- The Client is responsible for ensuring their email subscriber list has been collected with proper consent in compliance with GDPR, CAN-SPAM, CASL, and any other applicable regulations.
- We are not liable for email deliverability issues caused by poor list hygiene, domain reputation, or spam filter changes outside our control.
- The Client indemnifies iGoher against any claims arising from non-compliant email practices where the list or strategy was directed by the Client.
4.8 AI Chatbot & AI Agent Development
- AI tools and large language models (LLMs) are probabilistic and may produce outputs that are inaccurate, biased, or unexpected. We cannot guarantee the accuracy of AI-generated responses in production.
- Clients must implement appropriate human oversight and review mechanisms for any AI system deployed in customer-facing applications.
- Training data provided by the Client remains the Client’s property and responsibility. The Client warrants that they have the rights to use any data provided for training purposes.
- We do not accept liability for business losses arising from AI hallucinations, inaccurate responses, or model limitations.

You agree to indemnify, defend, and hold harmless iGoher and Goher Khan from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

- Content or data you provided to us that infringes third-party intellectual property
8. Termination
By the Client
Clients may terminate a service agreement by providing written notice as specified in the project agreement. Deposits and fees paid for completed milestones are non-refundable. Remaining milestone payments for work already in progress may be partially due depending on the work completed.
By iGoher
We reserve the right to terminate an engagement if:
- Payment is overdue by more than 14 days
- The Client engages in abusive, threatening, or illegal behaviour
- The requested work conflicts with our ethical standards or applicable law
Upon termination, we will deliver all completed work as of the termination date. Fees for completed work are due in full.

- For international clients, we are open to agreeing on an alternative jurisdiction in writing prior to engagement.

11. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
12. Entire Agreement
These Terms, together with any specific project agreement, scope of work, or NDA, constitute the entire agreement between you and iGoher with respect to the subject matter, and supersede all prior agreements and understandings.
